TERMS AND CONDITIONS

1. ABOUT THESE TERMS
These Terms and Conditions govern your use of joanneudeh.com and your purchase or participation in services provided by Joanne Udeh Coaching LLC, a Maine limited liability company, owned by Joanne Udeh (“Company,” “we,” “us,” or “our”). By using the website, purchasing a service, downloading a resource, or joining a program, you agree to these Terms.
2. ELIGIBILITY
You must be at least 18 years old to purchase or participate in any Company program or service. Our services are intended for internationally educated nurses and other adult clients. By enrolling, you confirm that the information you provide is accurate and that you have authority to enter this agreement.
3. SERVICES
We provide educational coaching, study planning, accountability, group coaching, downloadable resources, relocation preparation, career coaching, and related support. Current services may include the Licensing Roadmap, NCLEX Strategy Sessions, NCLEX Accountability Package, NCLEX Intensive Group Coaching, Arrive & Thrive, Rise Career Group, private coaching, and free resources.
4. IMPORTANT LIMITATIONS
Our services are educational and coaching services only. We do not provide immigration legal advice or representation, legal services, tax advice, financial planning, medical advice, recruitment, job placement, licensing representation, or visa services. We do not complete, sign, submit, or interpret immigration or licensing forms for clients.
We do not guarantee licensure, NCLEX success, visa approval, employment, salary, relocation, admission, specialty placement, promotion, or any other result. You are responsible for verifying information with the relevant Board of Nursing, NCSBN, USCIS, licensed attorney, accredited representative, employer, recruiter, or other qualified professional.
5. NCLEX SERVICES
NCLEX coaching may include study planning, general educational discussion, accountability, clinical-judgment strategies, practice-question approaches, and exam preparation. We do not provide actual, recalled, leaked, confidential, or unauthorized NCLEX examination items. We are not affiliated with, sponsored by, or endorsed by NCSBN. NCLEX® is a registered trademark of the National Council of State Boards of Nursing, Inc.
6. PROGRAM ACCESS AND MATERIALS
Unless a program page states otherwise, paid digital materials and program resources are available for 12 months after purchase or enrollment. Materials are licensed to the purchasing client for personal use only. You may not copy, sell, share, publish, distribute, upload, record, reproduce, or create derivative works from Company materials or recordings.
7. GROUP PROGRAMS AND RECORDINGS
Group sessions may be recorded for enrolled participants. Recordings will not be publicly shared. Camera participation is optional unless a specific session requires it. By speaking or appearing in a recorded session, you acknowledge that your contribution may be included in the private recording. Do not share another participant’s name, story, image, contact information, or private information outside the group.
A client who misses a live session may attend another available session at no additional charge when a comparable session is offered. We do not guarantee that every missed session will be repeated indefinitely.
8. COMMUNITY STANDARDS
Clients must communicate respectfully and must not harass, threaten, discriminate against, defame, solicit, recruit, spam, share confidential information, or provide unauthorized immigration, legal, medical, or financial advice to other participants. We may remove a participant who violates these standards without refund where appropriate.
9. PRICING AND PAYMENT
Prices are displayed in U.S. dollars unless otherwise stated. We may also accept Nigerian naira through available payment arrangements. Currency conversion, bank, payment-processor, and international transaction fees may apply. Payments may be processed by Stripe, PayPal, Squarespace, Acuity Scheduling, or another disclosed provider.
Payment plans are a commitment to the selected plan. A client may request cancellation before completing a program by emailing joanneu@joanneudeh.com. Any refund or remaining balance will be determined under the refund terms for the applicable offer and any written payment agreement.
10. REFUNDS AND CANCELLATIONS
Refunds are available only when requested before the applicable program begins, unless a written offer-specific policy states otherwise. After a program begins, payments are generally nonrefundable, except where required by law or expressly agreed in writing.
To request a refund or cancellation, email joanneu@joanneudeh.com with your name, purchase, and request. Refund timing depends on the payment processor. Downloaded or accessed digital materials may be ineligible for refund once access has begun.
We may cancel, reschedule, postpone, or change a program when reasonably necessary. If we cancel a program and do not provide a comparable replacement, you will receive the applicable refund for the unused portion.
11. PRIVATE COACHING
Private coaching is educational and not professional legal, immigration, financial, medical, recruitment, or licensing advice. Sessions must be scheduled through the available booking system. Cancellations and rescheduling are governed by the booking terms shown at checkout.
12. USER CONTENT AND TESTIMONIALS
You retain ownership of information you submit. You give us permission to use it only to provide services, communicate with you, operate the community, and improve the business. We may use testimonials, photographs, names, or success stories for marketing only after receiving your written consent that identifies the permitted use.
13. INTELLECTUAL PROPERTY
The website, brand, text, graphics, videos, PDFs, worksheets, recordings, curriculum, and other materials belong to Joanne Udeh Coaching LLC or its licensors. No ownership is transferred to you.
14. THIRD-PARTY SERVICES
We use third-party services such as Squarespace, Stripe, PayPal, Google Workspace, Zoom, WhatsApp, Acuity Scheduling, email services, and social media platforms. Their own terms and privacy policies may apply. We are not responsible for the independent acts or outages of third-party providers.
15. PRIVACY
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information. By using the website or services, you acknowledge the Privacy Policy.
16. DISCLAIMERS
The website and services are provided for educational and informational purposes. We do not warrant that information is complete, current, error-free, or suitable for your circumstances. You use the website and services at your own risk. Nothing creates an attorney-client, accountant-client, financial-adviser, doctor-patient, recruiter-client, or employment relationship.
17. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Joanne Udeh Coaching LLC and Joanne Udeh will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost income, employment, licensure, visa approval, business opportunity, data, or reputation. Our total liability for a claim relating to a service will not exceed the amount you paid for that specific service during the six months before the event giving rise to the claim.
18. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Joanne Udeh Coaching LLC and Joanne Udeh from claims, losses, liabilities, costs, and expenses arising from your misuse of the website or materials, violation of these Terms, violation of another person’s rights, or reliance on unauthorized advice received from another participant.
19. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Maine, without regard to conflict-of-law rules. Any court proceeding must be brought in a state or federal court serving Penobscot County, Maine, unless applicable law requires another forum.
20. CLASS-ACTION WAIVER
To the extent permitted by law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in a class, representative, or consolidated action.
21. CHANGES
We may update these Terms from time to time. The updated version will be posted on the website with a revised Effective Date. Continued use after an update means you accept the updated Terms.
