Terms and Conditions

These Terms and Conditions (“Terms”) form a binding agreement between you (“you,” “Client,” “user”)  and Joanne Udeh Coaching LLC, a Maine limited liability company (“Joanne Udeh Coaching,” “we,” “us,”  or “our”), governing your access to and use of our website at joanneudeh.com, built on Squarespace  (the “Site”), including our coaching programs and sessions, our blog, our YouTube channel and  embedded videos, and any downloadable videos, digital products, courses, or other content we make  available (collectively, the “Services”). 

These Terms replace and supersede any prior versions of our Terms and Conditions. Our Privacy Policy,  available at joanneudeh.com, is incorporated into these Terms by reference and explains how we collect and use your personal information. 

By accessing the Site, booking a session, purchasing a program or digital product, creating an account,  posting a comment, or otherwise using our Services, you agree to be bound by these Terms. If you do  not agree, please do not use the Site or Services. 

1. Eligibility 

Our Services are intended for adults 18 years of age or older, including working professionals and  university/college students who are legal adults. By using the Site or Services, you represent that you  are at least 18 years old and legally able to enter into a binding contract. We do not knowingly provide  Services to, or collect information from, anyone under 18, and the Site is not directed to or designed for  children. 

2. Description of Services 

Joanne Udeh Coaching provides Confidence and Effective Communication skills coaching designed to help working women and female  students build confidence, strengthen communication skills, and develop practical strategies for their  careers, relationships, and daily lives, delivered to clients both within the United States and  internationally. In addition to coaching, we publish free and paid content through: 

 one-on-one coaching sessions, group coaching programs, and VIP intensives;  self-paced digital courses and downloadable videos; 

 blog posts and articles on the Site; 

 our YouTube channel and videos embedded on the Site; and 

 an account/membership area for certain content, where applicable. 

Coaching is a collaborative process, and the value of coaching depends significantly on your own effort,  honesty, and participation. We do not control, and are not responsible for, decisions you make or  actions you take based on coaching conversations, blog posts, videos, or other content.

3. Not Therapy, Medical, Legal, or Financial Advice 

Coaching, blog content, videos, and digital products are educational and developmental in nature. They  are not psychotherapy, counseling, medical treatment, legal advice, or financial advice, and Joanne  Udeh Coaching LLC is not a licensed therapist, physician, attorney, or financial advisor. If you are  experiencing a mental health crisis, thoughts of self-harm, or a medical emergency, please contact  emergency services (911 in the U.S., or your local equivalent) or a licensed professional immediately. We may, at our discretion, recommend that you seek support from a licensed professional, and we reserve  the right to decline or discontinue Services where we believe they are not appropriate for your needs. 

4. No Guarantee of Results 

While we are committed to providing high-quality coaching and content, we do not guarantee any  specific outcome, result, income, promotion, relationship change, or other achievement from  participating in our Services or consuming our content. Testimonials and success stories reflect  individual experiences and are not a promise or guarantee that you will achieve similar results. 

5. Booking, Scheduling, and Client Portal 

Coaching sessions are booked and managed through our scheduling platform (currently Squarespace  Scheduling, powered by Acuity). By booking a session, you agree to the terms of use of this third-party  platform in addition to these Terms. You are responsible for keeping your contact information and  payment details current and for attending sessions at the scheduled time. 

6. Payment Terms 

We offer the following payment options for coaching, as described at the time of purchase: one-time full payment for a coaching package, program, or course; payment plans/installments, where the total fee is split into scheduled payments (by enrolling, you authorize us or our payment processor to automatically  charge your payment method on each scheduled date until the balance is paid in full); single/individual  

sessions billed at the time of booking; and recurring membership or subscription programs billed  automatically until you cancel. 

All payments — for coaching and for paid digital products or membership access — are processed  securely through third-party payment processors (currently Stripe and/or PayPal); we do not store your  full payment card details. Prices are listed in U.S. dollars unless otherwise stated; international clients  are responsible for any currency conversion fees, transaction fees, or taxes imposed by their own  country. 

6.1 Installment Plans and Late Payments

If a scheduled installment payment fails or is late, we may pause your access to sessions, digital  products, or membership content until payment is brought current, and may charge a reasonable late  fee or pursue standard collection efforts for unpaid balances for Services already rendered. 

6.2 Recurring Memberships and Subscriptions 

Subscription or membership programs renew automatically at the end of each billing cycle until you  cancel. You may cancel at any time by contacting us or through your account; cancellation takes effect at the end of the current billing cycle, with no partial-period refunds. We will provide reasonable notice of  any price changes before they take effect. 

7. Cancellation and Rescheduling Policy 

We require at least 24 hours' notice to cancel or reschedule a scheduled coaching session. Cancellations  or reschedules with less than 24 hours' notice, or a failure to attend a scheduled session (“no-show”),  will be forfeited and charged as used, except where we determine, in our sole discretion, that an  exception is warranted (e.g., a genuine emergency). Repeated late cancellations or no-shows may result  in modified scheduling terms or termination of Services as described in Section 18. 

8. Refund Policy 

All sales are final. This applies to coaching packages, programs, and sessions, as well as paid digital  products, downloadable videos, courses, and membership access. Because coaching spots, preparation  time, and digital content are reserved or delivered specifically to you upon purchase, we do not offer  refunds once a purchase is made, regardless of whether all sessions or materials have been used, except where required by applicable law. We encourage you to review program and product details carefully,  and to contact us with questions, before purchasing. 

9. Client Responsibilities and Assumption of Risk 

You are solely responsible for the decisions you make and actions you take during and after coaching or  after consuming our content, including in your career, finances, relationships, and personal life. You  agree to participate honestly and in good faith, and to seek appropriate professional help (medical,  mental health, legal, or financial) where needed. You voluntarily assume all risks associated with  participating in our Services. 

10. Confidentiality 

We treat information you share during coaching sessions as confidential and will not disclose it to third  parties except: (a) with your consent (for example, to share a testimonial); (b) as necessary to provide  the Services (for example, to our scheduling or payment platforms); (c) where required by law, court  order, or to prevent harm to you or others; or (d) as otherwise described in our Privacy Policy. Group 

coaching participants agree to keep information shared by other participants confidential and not to  disclose it outside the group. 

11. Blog Content 

Our blog is provided for general educational and informational purposes related to confidence,  communication, career, and personal development. Nothing on the blog constitutes professional advice, and reading the blog does not create a coaching or client relationship between you and Joanne Udeh  Coaching. Blog content reflects our views at the time of publication and may not always be current or  complete; we are not liable for actions you take based solely on blog content. 

12. Digital Downloads and Video Library 

We offer downloadable videos and digital content, some free (with or without email opt-in) and some  sold as paid digital products, as indicated at the time of access or purchase. 

12.1 License to Use 

When you access or purchase downloadable content, we grant you a limited, non-exclusive, non transferable, revocable license to use that content for your own personal, non-commercial purposes.  You may not resell, redistribute, publicly share, broadcast, sublicense, or upload our downloadable  content to other websites or platforms, or use it commercially, without our prior written consent. 

12.2 Paid Digital Products 

Paid downloads are delivered electronically after payment is confirmed through our payment processor  (currently Stripe and/or PayPal). As stated in Section 8, all sales of paid digital content are final and non refundable, except where required by applicable law. 

12.3 Availability 

We may add, modify, or remove free or paid content at any time. If we discontinue a paid digital  product you have already purchased, we will make reasonable efforts to ensure you retain access to  what you purchased or receive a reasonable substitute. 

13. Accounts and Membership Area 

Certain content may require you to create an account or log in to a membership area. You agree to  provide accurate information, keep your login credentials confidential, and notify us promptly of any  unauthorized use of your account. You are responsible for all activity under your account. Accounts are  for your individual, personal use only and may not be shared with others, particularly where the account provides access to paid content. We reserve the right to suspend or terminate accounts that violate  these Terms.

14. Blog Comments and User Submissions 

If we enable comments on blog posts or other interactive features, you agree that any comment or  content you submit (“User Content”) will be respectful and relevant; will not contain hate speech,  harassment, threats, obscenity, spam, or unlawful content; will not infringe any third party's copyright,  trademark, privacy, or other rights; and will not include confidential information about other coaching  clients or group members. 

By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to  use, reproduce, display, and moderate that content in connection with operating the Site. We reserve  the right, but not the obligation, to review, edit, remove, or decline to publish any User Content at our  sole discretion, without notice. 

15. Intellectual Property 

All content on the Site — including blog posts, videos, downloadable materials, worksheets,  frameworks, graphics, logos, and course materials (collectively, “Materials”), excluding User Content and third-party YouTube content — is owned by Joanne Udeh Coaching LLC or our licensors and is protected  by copyright, trademark, and other intellectual property laws. Except for the limited license in Section  12.1, you may not copy, reproduce, distribute, resell, publicly share, or create derivative works from the  Materials, or use our brand name “Joanne Udeh Coaching,” without our prior written consent. 

15.1 Copyright Infringement Notices (DMCA) 

We respect the intellectual property rights of others and expect users to do the same. If you believe  content on the Site infringes your copyright, please send a written notice to the contact below,  including: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the  material you claim is infringing and its location on the Site; (c) your contact information; (d) a statement  that you have a good-faith belief the use is not authorized; and (e) a statement, under penalty of  perjury, that the information is accurate and that you are authorized to act on behalf of the copyright  owner. We will review and respond to valid notices, and may remove or disable access to the material in question. 

16. YouTube Channel and Embedded Videos 

We may link to, or embed videos from, our YouTube channel on the Site. Viewing or interacting with  YouTube content is subject to YouTube's and Google's own Terms of Service and Privacy Policy, over  which we have no control. We are not responsible for YouTube's advertising, recommendations,  comments, or platform features. If our YouTube channel becomes eligible for the YouTube Partner  Program or similar monetization, any advertising revenue is governed directly by YouTube's/Google's  terms with us as the channel owner, separate from these Terms. 

17. Advertising, Affiliate Links, and Sponsorships

The Site does not currently display third-party advertising or affiliate links. We may introduce  advertising, affiliate links, sponsored content, or similar monetization on the blog, video library, or  elsewhere on the Site in the future. If we do, we will disclose sponsored or affiliate content in  accordance with FTC guidelines (for example, using labels such as “Ad,” “Sponsored,” or “Affiliate Link”),  and this Section will apply to govern your interaction with any such content. We are not responsible for  the products, services, or content of any third party we may promote or link to. 

18. Acceptable Use of the Site 

When using the Site, you agree not to: 

 use the Site for any unlawful purpose or in violation of these Terms; 

 attempt to gain unauthorized access to any part of the Site, our systems, or other users' accounts;  scrape, systematically download, bulk-copy, or reproduce blog posts, videos, or downloadable  content without permission; 

 circumvent any access restrictions, paywalls, or download limits; 

 remove copyright notices, watermarks, or attribution from our content; 

 upload viruses, malicious code, or engage in any activity that disrupts the Site's functionality;  use automated bots or scripts to access the Site; or 

 impersonate any person or misrepresent your affiliation with us. 

We reserve the right to restrict or terminate your access to the Site or Services if we reasonably believe  you have violated these Terms. 

19. Third-Party Services and Links 

Our Site and Services rely on and may link to third-party platforms, including our website host and  scheduling platform (currently Squarespace, including Squarespace Scheduling powered by Acuity),  payment processors (currently Stripe and/or PayPal), email marketing platform, analytics/advertising  providers (currently Google Analytics and/or Meta), and YouTube/Google. We are not responsible for  the content, policies, availability, or practices of these third-party services, and your use of them is  subject to their own terms and privacy policies. 

20. Termination 

We reserve the right to suspend or terminate your access to the Site, your account, or Services at any  time, with or without notice, for conduct that we believe violates these Terms, is harmful to us or other  clients, or for any other reason at our discretion, including repeated late cancellations or non-payment,  without refund of any paid content already accessed, except where required by law. Sections that by  their nature should survive termination (including Sections 4, 8–17, and 21–24) will survive. 

21. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available,” without warranties of any kind, whether  express or implied, including but not limited to implied warranties of merchantability, fitness for a  particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error free, or secure. 

22. Limitation of Liability 

To the fullest extent permitted by law, Joanne Udeh Coaching LLC, its owner, employees, and  contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site or Services,  even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out  of or relating to these Terms or the Services shall not exceed the total amount you paid to us for the  Services giving rise to the claim in the twelve (12) months preceding the claim. 

23. Indemnification 

You agree to indemnify and hold harmless Joanne Udeh Coaching LLC and its owner, employees, and  contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys'  fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your  violation of any rights of a third party. 

24. International Clients 

Our Services are offered from the United States. If you access the Site or purchase Services from outside  the United States, you do so on your own initiative and are responsible for compliance with local laws  that may apply to you. Nothing in these Terms is intended to override any mandatory consumer  protection rights you may have under the laws of your country of residence that cannot be waived by  contract. 

25. Governing Law and Dispute Resolution 

These Terms are governed by the laws of the State of Maine, USA, without regard to its conflict-of-laws  principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved  exclusively in the state or federal courts located in Maine, and you consent to the personal jurisdiction  of those courts. Before initiating formal legal action, we encourage you to contact us directly so we can  attempt to resolve the issue informally. 

26. Severability and Waiver 

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will  remain in full force and effect. Our failure to enforce any provision of these Terms shall not be  considered a waiver of that or any other provision.

27. Entire Agreement 

These Terms, together with our Privacy Policy and any specific coaching agreement or program terms  you sign at enrollment, constitute the entire agreement between you and Joanne Udeh Coaching LLC  regarding your use of the Site and Services, and supersede any prior agreements, understandings, or  versions of these Terms. 

28. Changes to These Terms 

We may update these Terms from time to time to reflect changes in our Services or legal requirements.  The “Last Updated” date at the top of this page indicates when it was last revised. Continued use of the  Site or Services after changes take effect constitutes your acceptance of the revised Terms. If we make  material changes, we will provide reasonable notice, such as by posting a notice on our Site or emailing  active clients/subscribers.
